• Assisted Indo Count Industries Limited in their acquisition of the home textile business of GHCL Limited. Assisted the client in conducting due diligence, drafting and negotiating of the business transfer agreement.

 

• Assisted and represented an Indian private limited company and its founders in a 100% acquisition by way of an earn-out by a private equity investor. Assisted the client in drafting, negotiating, signing and closing of the investor agreement and founder employment agreements.

 

• Represented a family office in their investment in an Indian startup engaged in the gaming sector. The work included drafting and negotiating debenture and share subscription agreement and the shareholders agreement.

 

• Assisted in representing TVS Motors, India in their bid to acquire of Norton Motorcycles, United Kingdom.

 

• Assisted Nykaa on general corporate matters such as reviewing of vendor agreements, reviewing and assisting in their payment gateway services in light of foreign exchange compliances mandated by the Reserve Bank of India, drafting loan-licensing agreements.

 

• Assisted Singapore based Xcelerate, through its wholly owned Indian subsidiary, XLSure India, in acquiring a controlling stake in Aparajitha Corporate Services Private Limited and the group of companies. Assisted the client in due diligence, drafting and negotiation of transaction documents.

 

• Assisted in representing Grasim Industries Limited in their joint venture with Maschinenfabrik Reinhausen GmbH.

 

• Drafted and negotiated a commercial contract between a hotel and a Michelin star restaurant for a restaurant pop up.
